Terms Of USE
These Terms of Use (the “Agreement”) apply to all websites, products, services, activities, and/or applications referencing and/or linking to this Agreement (the “Site” or “Sites,” collectively). The Sites are maintained by Inovelli Inc., its affiliates, and/or its partners (collectively, “Inovelli,” “we,” “our,” and “us”). The terms of our Privacy Policy are incorporated by reference into this Agreement.
1. Acceptance
By accessing, using, viewing, and/or downloading any content, material, technology, or functionality (the “Content”) from a Site—whether as a guest or a registered user—you agree to be bound by the terms and conditions of this Agreement and our Privacy Policy. We may revise and update this Agreement at our sole discretion. All changes are effective immediately when posted; you will not be notified individually. Thus, you are expected to check this page each time you access a Site to be aware of any changes. You are responsible for ensuring that all persons who access a Site through your internet connection are aware of this Agreement and comply with it.
YOUR CONTINUED USE OF A SITE INDICATES YOUR COMPLETE AND UNCONDITIONAL ACCEPTANCE OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT.
2. Access
2.1 Changes
We reserve the right to withdraw, amend, or restrict access to some or all portions of and/or Content found on a Site at our sole discretion without notice.
2.2 Security
If you choose, or are provided with, a username, password, or any other information as part of our security procedures, you must treat such information as confidential and must not disclose or transfer it to any other person or entity. You agree to notify us immediately of any unauthorized access to or use of your credentials or any other breach of security. You also agree to ensure that you log out from your account at the end of each session.
2.3 Credit Card Security
To protect the security of your credit card information, we employ industry-standard Secure Sockets Layer (SSL) technology. We also encrypt your credit card number when storing your order and whenever transmitting that information to participating merchants.
3. Acceptance
Acceptance Inovelli does not want you to submit confidential or proprietary information through our Sites. Except for passwords and associated login credentials, any information or materials you provide will be deemed non-confidential. By sending information or materials to Inovelli, you grant Inovelli an unrestricted, irrevocable license to use, reproduce, display, perform, modify, transmit, or distribute those materials or information. You also agree that Inovelli is free to use any ideas, concepts, know-how, or techniques you send to us. Any information disclosed in chat rooms, forums, message boards, and news groups becomes non-confidential information.
4. Access
Our Sites may include discussion forums, bulletin boards, chat areas, news groups, blogs, or other communication facilities (collectively, "Communities").
4.1 Postings
All messages, comments, opinions, videos, photographs, creative works, or other material posted on the Sites (collectively, "Postings") are the sole responsibility of the person who created the Posting. Postings do not reflect the views of Inovelli, and we have no obligation to monitor, edit, or review any Postings. However, we reserve the right to take any action deemed necessary, including but not limited to editing, refusing to post, or removing any Posting or other material in whole or in part, for any reason.
INOVELLI DISCLAIMS ALL LIABILITY ARISING FROM POSTINGS, INCLUDING BUT NOT LIMITED TO DEFAMATORY, INACCURATE, OBSCENE, OR UNLAWFUL CONTENT.
4.2 Community Rules
You are responsible for your own Postings and communications, including any consequences that may result.
4.3 No Obligation to Monitor
While Inovelli has no obligation to monitor Communities, we reserve the right to remove or edit any content at our sole discretion.
5. Prohibited Activities
You are strictly prohibited from:

Impersonating another person or entity.

Posting, publishing, or distributing false, defamatory, harassing, threatening, or otherwise unlawful content.

Uploading obscene, pornographic, profane, or otherwise objectionable information.

Posting copyrighted material unless you own or have permission from the rights holder.

Uploading viruses, corrupted files, or malicious software.

Engaging in commercial activities, including advertising, outside designated areas.

Disseminating chain letters, pyramid schemes, or spam.

Using automated processes (e.g., scraping, data mining, or AI training) to access Site Content.
We reserve the right to terminate or restrict your account access if you violate these rules
6. Intellectual Property
6.1 Copyright
All material on our Sites is copyrighted by Inovelli and/or its licensors. You may not copy, modify, republish, distribute, or upload such content without express written permission. If you believe that your copyrighted work is being used in a way that constitutes infringement, please submit a written notice to our designated copyright agent:

Your notice must include:
1. A description of the copyrighted work that you claim has been infringed.

6.2 Trademarks
All trademarks, logos, and service marks displayed on the Sites are registered and unregistered trademarks of Inovelli or third parties. You may not use any trademark without prior written permission.
7. Legal & Liability Disclaimers

Limitation of Liability: To the fullest extent permitted by law, Inovelli is not liable for any damages resulting from your use of the Sites, including direct, incidental, or consequential damages.

No Warranties: The Sites and Content are provided "as is" and "as available" without warranties of any kind.
8. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law principles. Any legal action must be brought exclusively in the state or federal courts of Santa Clara County, California.
9. Export Controls
You agree to comply with U.S. export control laws and not to export, re-export, or transfer materials from our Sites to prohibited countries or individuals
10. Parental Controls
Parental control protections are available for limiting access to harmful online material. More information can be found at: www.asacp.org.
11. Indemnification
You agree to indemnify and hold harmless Inovelli, its affiliates, employees, officers, and directors from any claims, losses, damages, liabilities, or expenses arising from your use of the Sites.
12. Miscellaneous
If any part of this Agreement is deemed invalid or unenforceable, all other provisions remain in full effect. Our failure to enforce any right does not constitute a waiver.
